Terms of Service
1. Acceptance of Terms
By accessing or using Overmind (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including Waitlist members, Founding Members, and Closed Beta participants.
2. What Overmind Is
Overmind is a cognitive pre-processing and task execution tool. It is designed to sit between your mind and your work — filtering what can be acted on today, forcing execution on a maximum of three things at a time, and mechanically removing everything else from your field of attention.
Overmind is not a medical application, mental health tool, therapy service, or wellness product. It makes no medical claims and provides no therapeutic services. If you are experiencing a mental health crisis, please contact a qualified professional.
3. Eligibility
You must be at least 18 years of age to use the Service. By using Overmind, you represent that you meet this requirement.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Caelvyn is not liable for any loss resulting from unauthorised access to your account due to your failure to secure your credentials.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, copy, or replicate the Service's architecture or mechanics
- Share your account access with others
- Attempt to circumvent any system limits, locks, or restrictions built into the Service
- Submit content that contains threats of harm to yourself or others
6. The Contract of Friction
Overmind is a commitment device. By using the Service, you explicitly accept that certain features — including timed commitment delays, automated deletion of content, and session lockouts — are core purchased features, not bugs or service failures. These mechanics are the product. They function as designed.
Caelvyn is not liable for any loss of content, productivity impact, or inconvenience arising from these mechanics operating as intended.
7. Data and Ephemerality
Overmind is designed as an ephemeral system. Content you enter is not permanently stored. Session data is encrypted and automatically deleted on a rolling schedule. You acknowledge that data entered into the Service will be permanently deleted as described in the Privacy Policy and as communicated within the product interface.
Caelvyn is not liable for any loss resulting from the intended deletion of user content.
8. Service Availability
Caelvyn will make reasonable efforts to keep the Service available. No uptime guarantee is made. The Service may be interrupted for maintenance, updates, or circumstances beyond Caelvyn's control. Caelvyn is not liable for losses resulting from service interruptions.
9. Intellectual Property
All aspects of Overmind — including its name, design, mechanics, architecture, copy, and branding — are the intellectual property of Caelvyn. Nothing in these Terms grants you any right to reproduce, copy, distribute, or create derivative works from any part of the Service.
10. Tier Structure and Access
Overmind operates three registration tiers prior to public launch: Waitlist, Closed Beta, and Founding Member. Each tier carries distinct terms, obligations, and access conditions as described in the relevant policies. Tiers are mutually exclusive. Founding Member and Closed Beta participation cannot be held simultaneously by the same individual.
Founding Member access grants lifetime use of Overmind's highest individual tier at launch. Beta applicants may upgrade to Founding Member only while founding registration remains globally open and before Beta product access has been granted to that identity. Once Beta product access is granted, or founding registration is closed globally, the upgrade path ends permanently.
11. Refund Policy
All purchases made through the Service are final and non-refundable, except as explicitly set forth in our Refund Policy. Pre-launch purchases (including Founding Member lifetime seats) represent early support for a product under active development, and users accept the risk associated with early-stage software. Specifically, Founding Member purchases are non-refundable except in the single instance where the Service does not reach public launch by December 31, 2026, in which case a full refund may be requested.
12. Chargeback Policy
Initiating a chargeback on any Caelvyn product or service — regardless of outcome — will result in permanent revocation of access across all Caelvyn tiers and future products. This applies to all registered identities associated with the account. Contact support@caelvyn.com before initiating any dispute with your payment provider.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Caelvyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Caelvyn's total liability to you for any claim arising from use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
14. Disclaimers
The Service is provided “as is” without warranties of any kind, express or implied. Caelvyn does not warrant that the Service will meet your specific requirements or that it will be error-free.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the District Court, Jammu, India. You agree to submit to this jurisdiction and waive any objection to proceedings in this court.
16. Changes to Terms
Caelvyn reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated via email where possible.
